1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of CopZon, including our website, AI-powered Amazon listing generation tools, and any related services (collectively, the “Service”), operated by CopZon (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you may not use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account, or through a prominent notice on our platform. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement and that the information you provide is accurate, complete, and current. The Service is available for use worldwide; however, you are responsible for ensuring that your use of the Service complies with all applicable local laws and regulations.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate.
  • Maintain the confidentiality of your account credentials and not share them with any third party.
  • Notify us immediately of any unauthorized access to or use of your account.
  • Accept full responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or have been inactive for an extended period.

4. Description of Service

CopZon provides an AI-powered tool that generates Amazon product listings based on information you provide. Our Service produces listing components including product titles, bullet points, product descriptions, and search terms. The output is intended as a draft to assist your listing creation process.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that affect active subscriptions.

5. Subscriptions and Payments

Certain features of the Service require a paid subscription. Pricing, plan details, and features are described on our pricing page and may be updated from time to time. By subscribing to a paid plan:

  • You authorize us (or our payment processor, Stripe) to charge the subscription fees to your provided payment method on a recurring basis (monthly or annually, depending on your selection).
  • Subscription fees are billed in advance and are non-refundable except as expressly stated in our Refund Policy.
  • You are responsible for providing accurate billing information and keeping it up to date.
  • All fees are exclusive of applicable taxes, which may be added to your bill where required by law.

Free plan: We offer a free tier with limited usage. We reserve the right to modify or discontinue the free plan at any time, with reasonable notice.

Price changes: We will notify you at least 30 days before any price change takes effect. If you do not agree with the new pricing, you may cancel your subscription before the change takes effect.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will continue to have access to the paid features until that date. We do not provide partial refunds for unused time in a billing period unless required by law.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. Specifically, you agree not to:

  • Use the Service for any purpose that violates applicable local, state, national, or international law, including but not limited to Amazon's terms of service and marketplace policies.
  • Attempt to reverse engineer, decompile, disassemble, or extract the underlying AI models, algorithms, or source code.
  • Use automated means (bots, scrapers, crawlers) to access the Service in a manner that exceeds reasonable human usage.
  • Submit content that infringes on the intellectual property rights, privacy rights, or publicity rights of any third party.
  • Submit content that is defamatory, obscene, fraudulent, misleading, or otherwise objectionable.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Use the Service to generate spam, deceptive listings, or content designed to manipulate Amazon's search algorithms in violation of their policies.
  • Resell, sublicense, or commercially distribute access to the Service without our express written permission.

We reserve the right to investigate and take appropriate action against violations, including account suspension or termination and reporting to relevant authorities.

7. User-Generated Content

You retain ownership of the product information, descriptions, images, and other content you submit to the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process such content solely for the purpose of providing and improving the Service. This license continues until you delete the User Content or your account is terminated.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that such content does not violate any third-party rights or applicable laws.

8. AI-Generated Content

The Amazon listing content generated by our AI models (“Generated Content”) is provided for informational and drafting purposes only. While we strive for accuracy and quality:

  • Generated Content may contain errors, inaccuracies, or omissions, and should be reviewed and edited before use.
  • We do not guarantee that Generated Content will comply with Amazon's listing policies, category-specific requirements, or search algorithm preferences.
  • You assume full responsibility for reviewing, editing, and finalizing Generated Content before publishing it on Amazon or any other platform.
  • You retain all ownership rights to the Generated Content produced from your inputs. We do not claim any ownership over your listing output.

9. Intellectual Property

The Service, including its website, software, design, logos, names, and all related intellectual property (excluding User Content and Generated Content), is and remains the exclusive property of CopZon. These Terms do not grant you any right, title, or interest in the Service, except the limited right to access and use it in accordance with these Terms.

“CopZon” and our logo are our trademarks. You may not use our trademarks without our prior written consent. All other trademarks appearing on the Service are the property of their respective owners.

10. Third-Party Services

The Service may integrate with or link to third-party services, including but not limited to payment processors (Stripe), AI model providers, authentication services, and analytics platforms. We are not responsible for the content, functionality, or practices of these third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses or harmful components.
  • Warranties regarding the accuracy, completeness, or reliability of Generated Content.
  • Warranties that Generated Content will result in any particular sales performance, search ranking, or business outcome.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COPZON, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  • Your use or inability to use the Service.
  • Any conduct or content of any third party on the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • Errors, inaccuracies, or omissions in Generated Content.
  • Any actions taken or not taken based on Generated Content or information obtained through the Service.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN LIABILITIES; ACCORDINGLY, SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless CopZon, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service.
  • Your User Content, including any claims of infringement or violation of third-party rights.
  • Your violation of these Terms or applicable laws.
  • Generated Content you publish, distribute, or otherwise use on Amazon or any other platform.

14. Termination

By you: You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to access the Service will cease immediately. Any outstanding subscription fees remain payable.

By us: We may suspend or terminate your account and access to the Service, with or without notice, for any violation of these Terms, fraudulent activity, non-payment, or for any other reason in our reasonable discretion. In the event of termination without cause, we will provide a pro-rated refund for any unused prepaid subscription period.

Survival: The provisions of these Terms that by their nature should survive termination (including but not limited to intellectual property, disclaimer of warranties, limitation of liability, and indemnification) shall continue to apply after termination.

15. Dispute Resolution

15.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.

15.2 Informal Resolution. Before initiating any formal legal action, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will make reasonable efforts to address your concerns within 30 days.

15.3 Arbitration.If the dispute cannot be resolved informally, it shall be resolved by binding arbitration administered in Hong Kong. The arbitration shall be conducted in English. Each party shall bear its own costs, and the parties shall share equally the arbitrator's fees. You agree that any dispute resolution proceedings will be conducted on an individual basis, and not as a class, consolidated, or representative action.

15.4 Exceptions.Nothing in this section limits either party's right to seek injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property infringement or unauthorized use of the Service.

16. Refund Policy

Our refund policy is set out in full in our Refund Policy, which is incorporated by reference into these Terms. In summary: refunds are evaluated on a case-by-case basis and generally apply only in limited circumstances, such as duplicate charges or Service unavailability.

17. General Provisions

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to natural disasters, power outages, internet disruptions, governmental actions, or acts of third-party service providers.
